40-Point Outside Counsel Evaluation Checklist

Score law firms on matter-specific outcomes, named staffing, billing transparency, and AFA willingness. Surface the partner-time inflation and scope-creep patterns before you sign.

Scoring Framework

Rate each answer 1 to 5 based on specificity and depth. Firms that consistently score below the midpoint tend to overrun their estimates, usually because the gaps in variance tracking, staffing transparency, and AFA willingness compound across the engagement year.

Track Record and Results (30%)Cost Structure and Budget Management (25%)Team Quality and Staffing Commitment (20%)Industry Specialization and Knowledge Transfer (15%)Service Delivery and Communication (10%)

Track Record and Results

30% weight

Evaluates concrete outcomes from similar matters rather than generic credentials. A boutique with strong outcomes on your matter type generally beats a BigLaw name running the same matter as associate training.

Sample Questions

  • Provides specific case outcomes from past 24 months with damages, settlements, or rulings, plus total legal spend.
  • Shows results pattern for matters similar to yours with client verification.
  • Demonstrates favorable outcomes in your specific matter type rather than general practice area experience.
  • Offers current client references willing to discuss specific results, costs, and variance.
  • Explains how their approach drove better outcomes than the typical industry result for similar matters.

Cost Structure and Budget Management

25% weight

Assesses true costs including hidden fees, partner-time requirements, and scope-change controls. Internal variance metrics are the single best predictor of how the engagement will actually finish against quote.

Sample Questions

  • Shows historical budget variance against estimates with a defined tolerance.
  • Provides realistic blended rates that include required partner review time.
  • Demonstrates a written scope-change process with a defined dollar threshold for re-approval.
  • Offers alternative fee arrangements (caps, fixed fees, success components) for routine work.
  • Discloses administrative fees, technology charges, and expense markups upfront.
  • Commits to a specific partner-time ceiling without prior approval.
  • Shows technology platforms (Kira, ContractPodAi, Luminance) that demonstrably reduce client costs on invoice.

Team Quality and Staffing Commitment

20% weight

Verifies you get the team you're pitched. Bait-and-switch staffing is the most common driver of cost inflation through inefficient junior execution at semi-senior rates.

Sample Questions

  • Names specific attorneys assigned to your matters with individual rates.
  • Provides a detailed staffing plan with time allocations for each attorney.
  • Commits the pitch team will remain engaged rather than handing off after signing.
  • Shows backup staffing plan for primary attorneys becoming unavailable.
  • Demonstrates relevant matter-type experience, not just practice area overlap.
  • Explains supervision structure between partners and associates on your matters.

Industry Specialization and Knowledge Transfer

15% weight

Evaluates whether they'll build reusable infrastructure for your company or rebill for the same work. Specialists with template libraries tend to net out cheaper than generalists despite higher hourly rates.

Sample Questions

  • Shows templates, playbooks, and automated processes they'll create for your company.
  • Demonstrates systematic regulatory monitoring using Bloomberg Law, Practical Law, or sector-specific services.
  • Provides quarterly business reviews with proactive compliance recommendations.
  • Explains how they'll transfer knowledge to reduce future legal dependency on routine questions.
  • Shows document automation tools that compress routine contract work.
  • Offers training for your team to handle routine legal tasks internally.

Service Delivery and Communication

10% weight

Assesses responsiveness and project management. Communication gaps on time-sensitive matters routinely cost more than the legal fees themselves through lost negotiating leverage.

Sample Questions

  • Commits to specific email response windows during business hours.
  • Provides regular status updates with time tracking and budget burn rates.
  • Shows capacity management process for maintaining service levels in busy periods.
  • Explains after-hours emergency contact procedures for time-sensitive matters.
  • Demonstrates project management tools and client portal access.
  • Offers references specifically about responsiveness and communication quality.
