1. Acceptance of Terms
By accessing or using Complivex (“the Service”), operated by Complivex (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. We reserve the right to modify these terms at any time, and your continued use constitutes acceptance of any changes.
2. Description of Service
Complivex is an AI-powered platform that assists users in creating Request for Proposal (RFP) documents. The Service uses artificial intelligence to conduct structured intake interviews and generate professional procurement documents. The Service may also include features for editing, exporting, sharing, and managing RFP documents.
3. Accounts and Registration
Certain features of the Service require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating an account and to update your information to keep it current. We reserve the right to suspend or terminate accounts that violate these terms.
4. User Content and Ownership
4.1 Your Content
You retain all ownership rights to the content you provide through the Service, including RFP descriptions, intake responses, company information, logos, and any text you enter or upload (“User Content”). We do not claim ownership of your User Content.
4.2 License to Us
By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and display your User Content solely for the purposes of providing, maintaining, and improving the Service. This includes sending your content to third-party AI providers for document generation.
4.3 Generated Content
RFP documents generated by the Service using AI are provided to you for your use. You are granted a perpetual, non-exclusive license to use, modify, and distribute the generated documents for any lawful purpose. You are solely responsible for reviewing and verifying the accuracy and suitability of any generated content before use.
4.4 Aggregated Data
We may create aggregated, anonymized, or de-identified data derived from your use of the Service (“Aggregated Data”). Aggregated Data is not considered User Content, and we may use it for any lawful purpose, including analytics, research, product improvement, benchmarking, and providing insights or recommendations to users or third parties.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Infringe the intellectual property or privacy rights of others
- Submit content that is defamatory, obscene, or harmful
- Attempt to gain unauthorized access to the Service or its systems
- Use automated tools to scrape, crawl, or extract data from the Service
- Interfere with or disrupt the Service or its infrastructure
- Use the Service to generate fraudulent, deceptive, or misleading procurement documents
- Resell, sublicense, or redistribute the Service without our prior written consent
- Reverse-engineer, decompile, or disassemble any part of the Service
6. AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate RFP documents. While we strive for accuracy and quality, AI-generated content may contain errors, omissions, or inaccuracies. You acknowledge that:
- AI-generated content is provided as a starting point and should be reviewed and edited before use
- We do not guarantee the accuracy, completeness, or suitability of any generated content
- You are solely responsible for the final content of any RFP document you create, share, or distribute
- AI-generated content does not constitute legal, financial, or professional procurement advice
- The quality and relevance of generated content depends on the information you provide
7. Third-Party Services and Recommendations
The Service may integrate with or reference third-party services, vendors, or products. We may in the future provide vendor recommendations, marketplace features, or affiliate links to relevant services. Such recommendations or links do not constitute endorsement. We may receive compensation from third parties for referrals or recommendations. Any transactions between you and third-party vendors are solely between you and the vendor, and we are not a party to such transactions.
8. Shared Links and Public Content
When you generate a shareable link for an RFP, you are choosing to make that document accessible to anyone who has the link. You are responsible for determining whether the content of your RFP is appropriate for sharing. We take reasonable measures to prevent search engine indexing of shared documents, but we cannot guarantee that shared content will not be accessed or redistributed by recipients.
9. Intellectual Property
The Service, including its design, features, code, branding, and documentation (excluding User Content and AI-generated documents), is owned by Complivex and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent.
10. Payment and Pricing
Complivex offers a free tier that allows you to create draft RFPs using AI-guided intake and preview the output. Additional features — including vendor invitations, reviewer collaboration, and document export — require a paid plan. Paid plans are priced as one-time, per-RFP purchases. Current pricing is available at complivex.com/pricing. We reserve the right to modify pricing, introduce new plans, or adjust feature availability. We will provide reasonable notice before changes that materially affect your use of the Service. Free-tier features available at the time of your registration may be modified or limited as the Service evolves.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLIVEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
13. Indemnification
You agree to indemnify and hold harmless Complivex, its officers, directors, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, indemnification, and limitations of liability. You may request export or deletion of your data within 30 days of termination.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
